Why doesn't shatter affect ghost enemies?

I've used shatter against ghosts but it's only property is Penetrating damage, and as a spell it doesn't affect them.

You answered your own question, its damage type is one that doesn't affect enemies completely resistant to Penetrating damage. Just because it's a spell doesn't mean it's gonna ignore the rules. Think of it this way, while you are using magic, it's conjuring up a physical projectile against an enemy that's incorporeal.
